Terms of Service & Engagement
1. Scope and Workflow
1.1. The Service Provider (Studio) agrees to provide design/development services, and the Client agrees to pay for them.
1.2. Work is based strictly on the approved Statement of Work (SOW). No SOW means no guaranteed result. Verbal agreements not documented in writing or in the SOW are legally void.
1.3. We do not do "rush jobs" for yesterday, and we do not participate in unpaid tenders. We solve business problems; we do not organize beauty pageants.
2. Financial Terms
2.1. Work commences only after the receipt of 100% prepayment or a deposit of at least 50%, unless otherwise agreed individually.
2.2. In the event of contract termination initiated by the Client, the deposit is non-refundable. This serves as a kill fee to compensate for reserved time and lost opportunity.
2.3. Intellectual Property (IP) rights, source files, and administrative access are transferred to the Client only after full payment. Until then, all work remains the property of the Studio.
3. Revisions and Acceptance
3.1. The cost includes two (2) rounds of revisions that do not contradict the initial SOW.
3.2. Any additional revisions ("playing with fonts," "trying a different color," "changing the concept") are considered scope creep and are billed separately at our hourly rate.
3.3. If the Client does not provide a motivated refusal to accept the work within three (3) business days after delivery, the work is deemed accepted in full, and services are considered rendered successfully. Silence implies consent and triggers the final invoice.
4. Limitation of Liability
4.1. Services are provided "as is." We are not liable for the Client's lost profits, indirect damages, or conversion dips caused by external market factors.
4.2. After project handover, the Client is solely responsible for its maintenance, hosting payments, domain renewals, and security. We are designers, not your IT department or babysitters. Technical support requires a separate agreement.
4.3. We are not responsible for the content provided by the Client (texts, images) or its compliance with copyright laws or advertising regulations.
5. Communication and Deadlines
5.1. Deadlines may be shifted unilaterally if the Client delays providing materials or feedback. Time spent waiting for a response is not included in the project timeline.
5.2. We value our time. Communication is conducted during business hours.
